Use of this Site, submission of a consultation request, or a conversation with Syndicate Consultants does not, by itself, create a contractual engagement, a client relationship, or any obligation on the part of Syndicate Consultants to provide Services. A formal engagement begins only upon execution of a separate, signed written service agreement between you and Syndicate Consultants, which will contain its own specific terms, scope of work, fees, and conditions that govern that engagement.
2. No Guarantee of Security Outcomes

Security consulting, risk assessment, and vendor placement services are inherently limited in their ability to prevent or eliminate risk. No security system, protocol, personnel, or measure can guarantee complete safety or the prevention of all possible incidents.
You acknowledge and agree that:
- Any recommendations, assessments, reports, or plans provided by Syndicate Consultants represent professional opinions based on information available at the time and do not constitute a guarantee of any specific outcome or level of safety;
- Implementation of any recommendation is your sole decision and responsibility;
- Security risks can never be fully eliminated, only mitigated, and circumstances, threats, and vulnerabilities may change after any assessment or recommendation is provided;
- You remain solely responsible for your own safety decisions, the safety decisions of your organization, and the ultimate selection, hiring, and oversight of any security vendor, notwithstanding any recommendation or referral made by Syndicate Consultants.
3. Third-Party Security Vendors
As part of our Services, Syndicate Consultants may identify, evaluate, recommend, or facilitate introductions to third-party security Vendors. While we undertake reasonable efforts to evaluate a Vendor's licensing, insurance, and general qualifications at the time of referral, you acknowledge and agree that:
- Syndicate Consultants does not employ, control, supervise, or direct any Vendor's personnel or day-to-day operations. Any Vendor engaged is an independent contractor with respect to you and is not an agent, employee, partner, or joint venturer of Syndicate Consultants;
- Syndicate Consultants is not responsible or liable for any act, omission, negligence, misconduct, breach of contract, or failure to perform by any Vendor, including but not limited to failure to prevent a security incident, injury to any person, property damage, or any other harm arising from the Vendor's performance or non-performance of services;
- Any contract for security services entered into with a Vendor is solely between you and that Vendor. Syndicate Consultants is not a party to that contract and assumes no liability under it;
- You are solely responsible for conducting your own independent due diligence on any Vendor before engaging their services, notwithstanding any vetting performed by Syndicate Consultants;
- Vendor licensing, insurance status, qualifications, and performance may change after the time of referral, and Syndicate Consultants has no ongoing obligation to monitor or verify a Vendor's status unless expressly agreed to in a separate written engagement for ongoing oversight services, and even then, subject to the limitations described in these Terms.
4. Disclaimer of Warranties
THE SITE, ITS CONTENT, AND ANY SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. 7. No Professional or Legal Advice

Syndicate Consultants reserves the right to refuse service, terminate discussions, or decline to enter into an engagement with any prospective client at our sole discretion, for any lawful reason or no reason, including but not limited to situations where we determine, in our sole judgment, that a request falls outside our scope of services or expertise. Termination of an active client engagement is governed by the terms of the specific written service agreement for that engagement.
12. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.
Any dispute, claim, or controversy arising out of or relating to these Terms, the Site, or the Services shall first be attempted to be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, the parties agree that any such dispute shall be resolved through binding arbitration administered in accordance with the rules of a mutually agreed-upon arbitration provider, conducted in Los Angeles County, California, rather than in court, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of a party's intellectual property or confidentiality rights.

If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision will be limited or eliminated to the minimum extent necessary so that the remaining provisions of these Terms will otherwise remain in full force and effect.
15. Entire Agreement
These Terms, together with our Privacy Policy and any separately executed written service agreement governing a specific client engagement, constitute the entire agreement between you and Syndicate Consultants regarding the Site and Services, and supersede any prior agreements or understandings, whether written or oral, relating to the subject matter herein.
